Cromwell Direct Property Fund Periodic Withdrawal Opportunity (Liquidity Event)

The second full Liquidity Event for the Cromwell Direct Property Fund (the Fund) was conducted in July 2025.

Withdrawal requests received during the Notification Period have exceeded 50% of the Fund’s total units on issue. In line with the Fund’s Constitution, Cromwell Funds Management (CFM) has now commenced the process of realising assets, leading to the eventual wind-up of the Fund. Net proceeds will be distributed to Unitholders.

Change to Unit Pricing Frequency

As the Cromwell Direct Property Fund progresses through its wind-up and the Fund’s remaining assets are progressively realised, CFM continues to review the Fund’s operating arrangements with a focus on reducing ongoing costs borne by investors where appropriate.

Effective 1 September 2026, the Fund’s unit price will be calculated monthly rather than daily.

The unit price will be calculated as at the end of each month, with the first monthly unit price being calculated as at 30 September 2026.

Any transfers of units will also be processed at the prior month-end closing price.

This change does not alter the Fund’s wind-up strategy. Cromwell continues to progress the realisation of the Fund’s remaining assets and will provide investors with updates as material developments occur.
